These Terms & Conditions ("Terms") govern your access to and use of the AccountIQ website and accounting services (the "Service"). By creating an account, joining the waiting list, or otherwise using the Service, you agree to these Terms. Please read them carefully.
1. About us
The Service is provided by LumenIQ ("we", "us", "our"), a company registered in England and Wales (Registered Company 16878795, VAT Reg No: GB 507 9006 00) with its registered office at 128 City Road, London, EC1V 2NX.
2. Definitions
- "Account" means the account you register to use the Service.
- "Your Data" means the data, including financial and business information, that you submit to the Service.
- "Subscription" means a paid plan that gives you access to specified features of the Service.
3. Preview release
The Service is currently offered as a preview and is being rolled out in stages. During preview, features may change, be added, or be removed, and the Service may be unavailable from time to time. Preview access is provided on an "as is" and "as available" basis without warranties of any kind.
4. Accounts and eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for keeping your login credentials confidential and for all activity that takes place under your Account. You agree to provide accurate information and to keep it up to date. Notify us promptly of any unauthorised use of your Account.
5. Subscriptions, plans, and billing
- All prices are in GBP per month and exclude VAT, which will be added where applicable.
- Paid Subscriptions auto-renew monthly until cancelled. You may cancel at any time, and cancellation takes effect at the end of your current billing period.
- We may change pricing at any time. Where a change affects an active Subscription, we will give you reasonable notice before it takes effect.
- If you upgrade to a more expensive plan and later wish to move to a less expensive plan, you may do so one month after upgrading.
- If you select a plan that includes Payroll or Expenses, additional charges may apply if you exceed the included number of users (Expenses) or people paid (Payroll). Invited users with access to those features may trigger additional charges if the included limits are exceeded.
- Payment fees may apply to the use of online invoice payments. Such fees are in addition to your base Subscription amount, are not eligible for discounts or offers, and are subject to change.
6. Free plan
We may offer a free plan with limited features and usage allowances (for example, a monthly invoice limit). We may change or withdraw the free plan, or its limits, at any time on reasonable notice.
7. Your data and your responsibilities
You retain all rights in Your Data. You grant us the right to host, process, and use Your Data solely to provide and improve the Service. You are responsible for the accuracy, quality, and legality of Your Data and for ensuring you have the right to submit it. AccountIQ is a tool to help you manage your accounts; it does not provide accounting, tax, or legal advice, and you remain responsible for meeting your own statutory obligations.
8. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- attempt to gain unauthorised access to the Service or its related systems;
- interfere with or disrupt the integrity or performance of the Service; or
- copy, modify, or create derivative works of the Service except as permitted by law.
9. Intellectual property
The Service, including all software, design, and content (excluding Your Data), is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with these Terms.
10. Third-party services
The Service may integrate with or rely on third-party services. Your use of those services may be subject to separate terms, and we are not responsible for their availability, content, or practices.
11. Availability and support
We aim to keep the Service available and to provide support during normal business hours, but we do not guarantee uninterrupted access. We may suspend access for maintenance, security, or operational reasons.
12. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law. Subject to that, we are not liable for loss of profits, revenue, data, or goodwill, or for any indirect or consequential loss. Our total liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
13. Termination and suspension
You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Service or other users. On termination, your right to use the Service ends. We will make Your Data available for export for a reasonable period after termination, after which it may be deleted in line with our Privacy Notice.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them.
